User Terms & Conditions

Effective July 1, 2025

Effective July 1, 2025, SubSchool will operate under the management of the National Center for Grow Your Own. By using SubSchool, you acknowledge the following User Terms & Conditions: 

1.     OUR SERVICES

1.1     Service Delivery.  

We'll make every reasonable effort to provide you with the services as described. During sign-up, you'll need to share some information with us to set up and support your account.

1.2     Customer Support. 

We'll provide reasonable technical support as required or as otherwise outlined in the Order or other written document we provide to you.

2.     YOUR RESPONSIBILITIES

2.1     Using Our Services Appropriately.  

You agree not to:

  • Reverse engineer our software or try to access our source code

  • Create modified versions of our services

  • Share your access with others or use the services for third parties

  • Remove any copyright notices or labels

2.2     Export Compliance.  

You must comply with U.S. export laws and regulations when using our services. Our software and documentation are considered "commercial items" under federal regulations, and any use by the U.S. Government is subject to the terms of this agreement.

2.3     Compliance with Laws and Policies.

You agree to use our services in compliance with our published policies and all applicable laws. You'll protect us from any legal issues arising from your use of the services, including claims related to content posted by users. While we don't routinely monitor how you use the services, we may do so and can prohibit uses we believe violate these terms.

2.4     Third-Party Interactions.  

You understand that by using our services, you may receive communications from third parties with whom we share your information. You agree that any interactions, transactions, or agreements between you and these third parties are solely between you and those third parties. You acknowledge that we are not responsible for the content, privacy practices, or business dealings of these third parties, even when we've facilitated the introduction.

2.5     Account Security.  

You're responsible for:

  • Obtaining and maintaining any equipment needed to use our services

  • Keeping your equipment, accounts, and passwords secure

  • All activity that happens under your account

3.     DATA PRIVACY AND OWNERSHIP

3.1     Confidential Information. 

Both of us may share confidential business information with each other. We both agree to:

  • Take reasonable steps to protect this information

  • Not share it with others (except as needed to provide the services)

  • Not use it except as allowed in this agreement

These protections don't apply to information that:

  • Becomes public knowledge (not through a breach of this agreement)

  • Was already known before it was shared

  • Was independently developed

  • Was rightfully received from a third party

  • Must be disclosed by law

  • Is shared pursuant to these Terms or our Privacy Policy

The confidentiality obligations end five years after disclosure.

3.2     Ownership of Materials.  

We own and retain all rights to:

  • Our services and software

  • All implementation and onboarding materials

  • Any technology developed for implementation and support

  • All related intellectual property

  • Data derived from your data and provided to you as part of the services

  • Content posted to public areas of our service

3.3     Data Sharing and Third-Party Opportunities for Individual Users. 

By using our services, you, as an individual user, consent to our sharing your contact information with education preparation programs (EPPs) and other third parties that may offer teaching opportunities or related services. This consent includes:

  • Transferring your contact information to connect you with potential teaching opportunities

  • Allowing third parties to contact you about these opportunities

  • Processing your data for matching with suitable educational programs

You acknowledge that once your information is shared with these third parties, we cannot control how they use, store, or further share that information. While we make reasonable efforts to share your information only with reputable partners, we are not responsible for any data breaches, misuse, or other actions taken by these third parties after we've transferred your information.

If you are an administrator or district level/state level user, then you acknowledge and consent to the sharing of individual user contact information pursuant to this Section 3.3.

3.4     Data Analytics.  

We may collect and analyze data related to how our services are used. We can use this information to improve our services and for product development. We may share this data with others only in aggregate or anonymized form. No additional rights are granted except as specifically stated in this agreement.

4.     PAYMENT

4.1     Fees.  

If you are a school level, district level or state level administrator/user, you'll pay the fees described in your Order Form. If your usage exceeds what you've signed up for, we'll notify you and give you two weeks to reduce usage before billing you for the excess. We may change our fees at the end of your current term with 60 days' notice. If you think we've billed you incorrectly, contact us within 60 days of the billing statement.

4.2     Invoicing. 

If we bill you by invoice, payment is due within 30 days of receiving the invoice, unless stated otherwise. We may suspend your service if payments are late.

5.     TERM AND CANCELLATION

5.1     Subscription Period. 

Your agreement and subscription period is for the term specified in your Order Form.

5.2     Termination.  

Either of us may terminate this agreement with 30 days' notice if the other party significantly breaches these terms. We may terminate immediately if you fail to pay. All fees are paid at the outset of the Term and there is no prorated refund if you elect to terminate the agreement early. After termination, we'll make your data available for 30 days, after which we may delete it. Certain provisions of this agreement will remain in effect after termination, including payment obligations, confidentiality requirements, warranty disclaimers, and liability limitations.

6.     WARRANTIES AND DISCLAIMERS

We'll use reasonable efforts to maintain the services with minimal errors and interruptions and will perform implementation work professionally. Services may be temporarily unavailable for scheduled maintenance or emergencies, but we'll try to give you advance notice of any planned disruptions.

However, we don't guarantee the services will be error-free or uninterrupted, nor do we guarantee specific results from using the services. EXCEPT AS STATED IN THIS SECTION, THE SERVICES ARE PROVIDED "AS IS" WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7.     INTELLECTUAL PROPERTY PROTECTION

We'll protect you from third-party claims that our services infringe U.S. patents, copyrights, or trade secrets, provided you:

  • Promptly notify us of any threats or claims

  • Give us reasonable assistance

  • Allow us to control the defense and settlement

This protection doesn't apply if the alleged infringement relates to:

  • Components not supplied by us

  • Modifications made after delivery

  • Combinations with other products or materials

  • Continued use after notification of a claim or after we've provided modifications to avoid infringement

  • Use not in accordance with this agreement

If our service is found to be infringing, we may:

  • Modify it to be non-infringing

  • Obtain a license for you to continue using it

  • Terminate this agreement and refund prorate fees 

8.     LIABILITY LIMITATIONS

REGARDLESS OF THE CIRCUMSTANCES, WE AND OUR SUPPLIERS, OFFICERS, AFFILIATES, REPRESENTATIVES, CONTRACTORS AND EMPLOYEES WON'T BE RESPONSIBLE FOR:

  • SERVICE INTERRUPTIONS, DATA LOSS, OR TECHNOLOGY PROCUREMENT COSTS

  • INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES

  • MATTERS BEYOND OUR REASONABLE CONTROL

  • ANY DAMAGES EXCEEDING THE FEES YOU'VE PAID US IN THE 12 MONTHS BEFORE THE EVENT CAUSING LIABILITY

  • ANY ACTIONS, ERRORS, OMISSIONS, OR DATA BREACHES BY THIRD PARTIES WHO RECEIVE YOUR INFORMATION THROUGH OUR SERVICES, EVEN IF WE FACILITATED THE TRANSFER OF SUCH INFORMATION

9.     CONTENT

Our materials are for general professional development and aren't intended to satisfy specific compliance requirements. You're responsible for providing any training required by relevant regulations and certifications.

10.     GENERAL PROVISIONS

10.1     Data Consent.  

BY ACCEPTING THESE TERMS, YOU EXPRESSLY CONSENT TO THE COLLECTION, USE, AND TRANSFER OF YOUR INFORMATION AS DESCRIBED IN THIS AGREEMENT, INCLUDING THE SHARING OF YOUR CONTACT INFORMATION WITH EDUCATION PREPARATION PROGRAMS (EPPs) AND OTHER THIRD PARTIES FOR TEACHING OPPORTUNITIES.

10.2     Other Legal Provisions. 

If any part of this agreement is found unenforceable, we'll modify it as minimally as possible while preserving the rest. You can't transfer this agreement to someone else without our written consent, but we can transfer our rights and obligations of our business which would include the sale of all or substantially all of the assets of the business as a whole or the Sub School platform. This agreement supersedes any previous agreements about the same subject. No partnership or agency relationship is created between us. The winning party in any legal dispute can recover costs and attorney fees. All notices must be in writing. This agreement is governed by Michigan law, without considering conflict of law principles.

Privacy Policy

Effective July 1, 2025, SubSchool will operate under the management of the National Center for Grow Your Own. By using SubSchool, you acknowledge the following Privacy Policy: 

The National Center for Grow Your Own d/b/a Sub School (“NCGYO”) is committed to the protection of your personal information. This Privacy Policy sets out the basis on which NCGYO collects and uses personal information about you as part of our business activities.

This Privacy Policy describes in detail who is responsible for the personal information that NCGYO collects about you, what personal information is collected, how NCGYO uses such personal information, who NCGYO may disclose it to and your rights and choices in relation to your personal information.

This Privacy Policy generally covers information collected at https://subschool.org and any other subdomain, website or webpage that NCGYO may have in place now or in the future for Sub School and its related training and materials (collectively, the "Sub School Website"), but also relates to information collected by NCGYO outside of the Sub School Website including through the provision of services.

Who is Responsible for the Personal Information That NCGYO Collects?

For the purposes of all relevant data protection laws, NCGYO is the data controller as to the personal information that is collected and used as part of its business activities. This is because NCGYO dictates the purpose for which your personal information is used and how NCGYO uses your personal information.

What Personal Information Does NCGYO Collect?

While some of the information collected is required for business engagement purposes, other information is voluntarily given by you. The type of personal information that NCGYO may collect could include, but is not limited to, the following:

  • Your full name, e-mail address, phone number and email contact information;

  • Demographic information including but not limited to ethnicity and gender;

  • Your job title and the organization for which you work;

  • Your work experience, career goals, interests and objectives;

  • Preference information, such as the communications you receive from us;

  • Inferences drawn from any of the information we collect to create a profile about you; and

  • Any other information relating to you (or other individuals) which you may provide to us.

If you are providing personal information to NCGYO relating to a third party, you confirm that you have the consent of the third party to share such personal information with NCGYO and that you have made the information in this Privacy Policy available to the third party.

Sensitive Categories of Information

Some jurisdictions consider certain personal information particularly sensitive. Except as otherwise indicated in this Privacy Policy, NCGYO collects this data for statistical and reporting purposes only. This information may be required in order to create an account on our platforms, as some grantors require that we track the age and other demographic information of our participants. NCGYO does not share this information with third parties for business purposes; NCGYO only shares this information with grantors when required as a term of the grant. Whenever possible, when such information is shared, NCGYO will provide it in aggregate form. Such information may include the following:

  • Date of birth

  • Ethnicity

  • Gender

  • Age

  • Employer

Website Usage Information

NCGYO collects information when you provide it to NCGYO, such as when you use the "contact us" feature on the Sub School Website, register for access to services or otherwise communicate with NCGYO (such as by email, via NCGYO social media pages, ncgyo.org, or through survey responses).

NCGYO collects certain information automatically when you use the Sub School Website, such as your IP address and domain name, browser type, history of pages viewed and other usage information about your use of the Sub School Website. NCGYO collects this information for site administration purposes, such as to analyze this data for trends and statistics. NCGYO may share statistical or aggregated non-personal information about its users with advertisers, business partners, sponsors and other third parties. This data is used to customize the Sub School Website content and advertising to deliver a better experience to our users. Please see the section below on cookies for more information.

How Does NCGYO Obtain Your Personal Information?

As noted above, we collect information from you in the course of your use of the Sub School Website. For example, NCGYO collects information from you when you contact or communicate with NCGYO (including through the Sub School website by email or otherwise) or when you register for access to services through Sub School’s website.

NCGYO also collects your personal information while monitoring the Sub School Website. NCGYO also gathers information about you when you provide it to us or interact with us directly including but not limited to through the completion of electronic surveys.

How Does NCGYO Use the Personal Information it Collects?

NCGYO collects personal information for the following principal purposes; for each purpose, NCGYO has also set out below the legal basis under relevant data protection laws that we rely on to justify this use of your personal information.

With Whom Does NCGYO Share Your Personal Information?

NCGYO reserves the right to disclose and/or transfer personal information to a third party, if NCGYO has reason to believe that disclosing personal information is necessary to identify, contact or bring legal action against someone who may be causing injury to or interference with (either intentionally or unintentionally) NCGYO rights or property, other Sub School Website users or anyone else who could be harmed by such activities. Additionally, NCGYO may disclose personal information in response to a subpoena, warrant or other court order, or when NCGYO believes in good faith that a law, regulation, subpoena, warrant or other court order requires it.

NCGYO reserves the right to disclose and/or transfer personal information to a third party in the event of a proposed or actual purchase, sale (including a liquidation, realization, foreclosure or repossession), lease, merger, amalgamation or any other type of acquisition, disposal, transfer, conveyance or financing of all or any portion of NCGYO.

NCGYO may share your information with personal advisors, such as accountants, lawyers, and grantors, who assist us in carrying out our business activities.

NCGYO may share your information, including details about your engagement with a product (course completion percentage, level of participation, etc.) with your employer or other organization with which you are associated. NCGYO may also share survey responses and other information provided by you with your employer or other sponsoring organization but will only share any demographic information in the aggregate.

NCGYO may share personal information with third parties engaged to assist NCGYO in providing services to you or to carry out one or more of the purposes described above. These service providers are prohibited from using your personal information for any purpose other than to provide this assistance and are contractually required to protect personal information disclosed by NCGYO and to comply with the general privacy principles described in this Privacy Policy.

Transfer of Contact Information for Educational Opportunities

NCGYO may sell or share your contact and some demographic information (such as name, email address, work and educational experience) with programs that train and certify educators. This information sharing is designed to connect individuals interested in teaching careers with appropriate training and certification opportunities.

You may opt out of having your contact information sold for this purpose at any time by emailing [email protected] with "EDUCATOR OPT-OUT" in the subject line.

For California residents and residents of other states with applicable privacy laws, this sharing of information constitutes a "sale" or "sharing" of personal information under those laws, and your right to opt out of such sharing is explained in the state-specific rights sections below.

In the twelve months preceding the effective date of this Privacy Policy, NCGYO has not disclosed any personal information for business purposes.

In the twelve months preceding the effective date of this Privacy Policy, NCGYO has not sold or shared any personal information to programs that train and certify educators.

If you choose not to provide NCGYO with your personal information, you may still visit the Sub School Website. However, you may be unable to access certain website options, such as using the Sub School Website functionality to its fullest extent.

Transfer of Personal Information Across Borders

While its work is focused in the United States, NCGYO sites and materials are available globally. NCGYO may allow your personal information to be shared with its related entities or third-party service providers based both within the United States and in other countries. This may entail a transfer of your information from a location within the EEA to outside the EEA, or from outside the EEA to a location within the EEA.

When NCGYO provides your personal information in such instances, such is done in connection with providing your requested information or services, or as required or authorized under law. It is possible the overseas entities with which NCGYO shares your information with may not be subject to laws that provide the same level of protection of information as your country of residence or may not be subject to any privacy obligations. Overseas entities may be required or compelled to disclose your personal information to a third party, such as an overseas authority. When we transfer information outside of the EEA, we will implement appropriate measures to ensure that your personal information remains protected and secure in accordance with applicable data protection laws.

Unfortunately, the transmission of information via the internet is not completely secure. Although NCGYO uses reasonable efforts to protect your personal information, it cannot guarantee the security of your personal information transmitted to the Sub School Website and any transmission is at your own risk. Once NCGYO has received your personal information, it will use reasonable and appropriate procedures and security features to try to prevent unauthorized access.

California residents may also request information about our disclosure of personal information to third parties for direct marketing purposes. In accordance with California law, we will provide a list of the categories of personal information disclosed to third parties for direct marketing purposes during the preceding calendar year, along with the names and addresses of these third parties upon request.

Virginia Residents

Under the Virginia Consumer Data Protection Act (VCDPA), Virginia residents have the following rights:

How Long Will NCGYO Keep Your Personal Information?

NCGYO keeps your personal information for the period of time that you are a user of the Sub School Website and for five (5) years after you discontinue use of the Sub School Website, or for as long as necessary to fulfill the purposes outlined in this Privacy Policy, unless a longer retention period is required or permitted by law.

Notice of Financial Incentive

NCGYO does not offer financial incentives or price or service differences in exchange for the retention or sale of personal information.

Links to Other Websites

The Sub School Website may contain links to other websites not controlled or legally affiliated with NCGYO. These sites are not controlled by NCGYO and NCGYO is not responsible for any content contained on any such website.
